Terms of Service

1. Who we are and what these Terms cover

These Terms of Service ("Terms") govern your use of Decoupa (the "Service"), a web application at decoupa.film that generates shot lists and related production documents from screenplays using artificial intelligence. The Service is provided by Alien Alliance Films GmbH, Erlachstrasse 23, 3012 Bern, Switzerland ("we", "us"). By creating an account, starting a trial, or using the Service, you agree to these Terms.

2. The Service

The Service analyses screenplays you provide and generates shot lists, coverage analyses, continuity checks and similar pre-production material using third-party AI models (currently Anthropic Claude). Features depend on your plan (see Section 5).

The Service is under active development. Features may change, improve, or be discontinued. Where a change materially reduces functionality you have paid for, we will inform you in advance and you may cancel with effect from the end of the paid period.

3. Your account

Using the Service requires a free account — there is no anonymous mode; generating shot lists requires you to be signed in. You must be at least 16 years old to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account. One account is for one person; seats for teams may be offered separately in the future.

4. Your content and intellectual property

Your screenplay is yours. The output is yours. You retain all rights to the screenplays, notes and other material you provide ("Input") and to the shot lists and other material the Service generates for you ("Output"). We claim no ownership of Input or Output.

You grant us only the limited licence necessary to operate the Service: to transmit, process and — where you use cloud save — store your Input and Output on your behalf. This licence ends when the content is deleted.

We do not use your Input or Output to train AI models, and we do not sell it or share it with third parties beyond the subprocessors listed in our Subprocessor List.

You warrant that you have the necessary rights to the material you upload and that it does not infringe third-party rights.

5. Plans, trial and pricing

The Service is offered in paid plans (currently Core and Pro). Current prices, plan contents and quota sizes are shown on the pricing page and at checkout. Prices for consumers in the EU/EEA and Switzerland are shown including VAT where applicable.

New users may try the Pro plan for free, without providing a payment method. The trial is allowance-based rather than time-based: it includes a screenplay foundation analysis plus a limited number of free scene generations (currently 7), with a cap on new project analyses to prevent abuse. When the trial allowance is used up, continued use requires a paid subscription. Export of your work remains available during and after the trial.

We may change prices with at least 30 days' notice; changes take effect at your next renewal. If you do not agree, you may cancel before the change takes effect.

6. Usage quota (AI allowance)

Each plan includes a monthly usage allowance for AI operations, displayed in the app in practical units (e.g. scene generations). All AI operations count against the allowance, including automatic quality mechanics such as gap-filling, multi-pass continuity checks and retries. Allowances reset monthly and do not roll over.

When your allowance is used up, you can (a) wait for the next reset, (b) purchase a top-up, or (c) connect your own Anthropic API key (Section 7). Allowances are designed to be generous for typical use; we may apply fair-use limits to protect the Service from abuse.

7. Bring Your Own Key (BYOK)

You may connect your own Anthropic API key. In that case AI calls are billed by Anthropic directly to you under your own agreement with Anthropic; we pass your key through per request and do not store or log it. BYOK does not replace or reduce the subscription price — it is an overflow option beyond your included allowance. You are responsible for all costs your key incurs and for complying with Anthropic's terms.

8. AI output — no guarantee of accuracy

Output is generated by AI and is a creative and technical suggestion, not a guaranteed-correct work product. Shot lists may contain errors, omissions or interpretations you disagree with. You are responsible for reviewing Output before relying on it in production. We do not warrant that Output is complete, accurate, or fit for a particular production purpose.

9. Your data, storage and backups

Your projects are stored in your browser as you work and are automatically saved to our cloud storage as blobs encrypted on your device before upload; encryption keys are managed by us so that the feature works across your devices without passwords (see the Privacy Policy for details and our commitments).

Local browser storage can be evicted by your browser or lost with your device; the cloud copy (saved automatically while you are signed in) is the safeguard against that. You can also export all your data at any time in open formats.

10. Payment, renewal, cancellation, refunds

Subscriptions are sold through our merchant of record, Stripe Managed Payments ("MoR"), which is the seller of record and handles payment, invoicing and applicable taxes. Subscriptions renew automatically for the chosen period until cancelled. You can cancel anytime with effect from the end of the current period via the customer portal.

EU/UK consumers: you have a statutory 14-day right of withdrawal for digital services. By starting to use the Service immediately, you request immediate performance and acknowledge that the right of withdrawal lapses to the extent the service has been performed; any statutory rights that cannot be waived remain unaffected. 11. Acceptable use

You must not: use the Service for unlawful content or purposes; attempt to circumvent quotas, tiers or technical protections; resell or white-label the Service without our written consent; probe, scrape or reverse-engineer the Service beyond what mandatory law permits; or use the Service to develop a competing dataset or model.

12. Availability

We aim for high availability but do not promise a specific uptime (no SLA). The Service depends on third-party providers (AI inference, hosting); outages on their side can affect the Service. Planned maintenance will be announced where practical.

13. Liability

To the extent permitted by Swiss law, our total liability for damages arising out of or in connection with the Service is limited to the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages, lost profits, or loss of data that you could have prevented with the export/backup features provided. Nothing in these Terms excludes liability for unlawful intent or gross negligence (Art. 100 of the Swiss Code of Obligations) or other liability that cannot be excluded by law. Mandatory consumer rights remain unaffected.

14. Termination

You may stop using the Service and cancel at any time (Section 10). We may suspend or terminate accounts that materially breach these Terms, with prior notice where reasonable. After account closure, you have thirty (30) days to export cloud-saved data; afterwards it is deleted. Locally stored data remains on your device and under your control.

15. Changes to these Terms

We may update these Terms. For material changes we will notify you (e.g. by email or in-app) at least 30 days before they take effect; continued use after the effective date constitutes acceptance. If you do not agree, you may cancel with effect from the end of the current paid period.

16. Governing law and jurisdiction

These Terms are governed by Swiss substantive law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is the seat of Alien Alliance Films GmbH, Switzerland. Mandatory consumer protection law and mandatory venues of your country of residence remain unaffected.

17. Miscellaneous

If a provision of these Terms is invalid, the remainder stays in force. We may assign these Terms to a legal successor of the business; you may not assign your subscription without our consent. These Terms are the entire agreement regarding the Service and are drafted in English; the English version prevails.
